AS A DENTIST / DENTAL HYGIENIST, HOW CAN I INVEST IN SMYLE TO BECOME A CO-OWNER?

You buy share certificates. A share certificate makes you, as an investor, a co-owner of a company. The share certificates give you as an investor ‘economic rights’ within the company. This means that you are a co-owner and benefit from the increase in value, but also that you will share in the dividend payment in the future when the company pays it out.

There are no voting rights attached to certificates. The certificates have been digitized on the Broccoli platform. This digitalization makes investing and trading accessible without the intervention of a notary.

Investing involves risks. So only invest if you have the financial capacity to lose the money. Of course we don’t assume that, but we do have to report this. As an investor, no (future) obligations or securities are required.

FROM WHEN CAN I INVEST?

You can now invest and become a co-owner of Smyle, starting from €375.

WHY IS SMYLE SELLING ITS SHARES?

Smyle is expanding to make more impact as quickly as possible. Smyle would like to be the first to offer its community the opportunity to invest, we are a crowdfunded brand.

We also want to give the largest possible community of dentists and dental hygienists the opportunity to become co-owners. The more oral care professionals are enthusiastic, the more people are reached. And that is our great wish!

WHAT HAPPENS ONCE I HAVE PURCHASED CERTIFICATES?

Once you have made your investment, your share certificates will be made available via the Broccoli platform. These can be traded with each other after 2 years via this Broccoli platform.

Broccoli is a super-modern platform that focuses on sustainable companies with a good story that can place, digitise and trade their own assets. We feel at home with them and that is why we started working with them.

On your personal page on the Broccoli platform you will be able to keep track of how many certificates (shares) you have in Smyle in your dashboard (overview). For each transaction you will also receive an email confirming your purchase and a transaction certificate which serves as proof. In your account you can find all your transactions and details per transaction. On Broccoli, the digital certificates in Smyle are called ‘Certificates’.

WHAT IF SMYLE IS ACQUIRED BY ANOTHER COMPANY?

Smyle wants to make excellent sustainable oral care products and save packaging. In this way we want to show that building a company can be done sustainably! We are not thinking about selling at all.

But if selling is ever discussed, you as an investor will be included in that sales process.

If Smyle is sold at a profit, you share in this profit.

In the event of a sale as described above, the certificates will be repurchased by Smyle or the investor at the value of the acquisition.

The difference in value will determine the final return. This can be both negative and positive, but Smyle aims to make an impact, which means growth and therefore an increase in value.

CAN I SELL MY CERTIFICATES?

You can sell your share certificates to other investors after 24 months via the Broccoli platform. Until then, there is a so-called ‘time lock’. After 24 months you can sell secondarily or privately on the Broccoli marketplace. This means that you can offer your certificates for sale to other co-owners in the meantime.

You determine the minimum price you want to receive. You do that anonymously. Buyers can then bid anonymously. If you receive a price that you are happy with, you accept the buyer’s offer price. With every bid you will receive an email that a bid has been made. Once you have accepted this offer, the buyer will have 24 hours to complete the payment. The payment is also made via Broccoli and is paid directly (minus the Broccoli transaction costs of 2.5%, with a maximum of 1250 euros) to your bank account as recorded in your user profile on the platform.

WHAT RETURNS CAN I EXPECT?

There are two ways to achieve returns by becoming a co-owner of a company. Based on the dividend payment (profit) and the value of your certificate. The value of your certificate is the difference between the purchase price and the sales price of your certificates.

How high the return will be can never be said with certainty. You join Smyle at a relatively early stage, there is a strong foundation, but the growth really starts now. If value is added to the company, this will directly influence turnover and results and therefore the value of the current certificates.

The forecast is based on growing 50-75% yearly in the coming years. This would mean that the value of your investment will also be doubled soon. However, this is a forecast and not a guarantee for the future. The return could be cashed in through a sale on the marketplace or when Smyle is (partially) sold to a third party.

The amount of the dividend is determined every year after the annual figures have been determined. The board decides whether the profit will be paid out as dividend or whether it will be reinvested. The expected dividend yield for the next three years is therefore very difficult to estimate, especially because Smyle has not yet grown together with you as co-owners.

AS A BUYER, DO I HAVE TO PAY FEES TO PURCHASE A CERTIFICATE?

No. The Broccoli platform charges 2.5% transaction costs. The seller, in this case Smyle, pays these transaction costs.

If you decide to sell your certificates after 24 months, you as the selling party pay the transaction costs. Then you pay 2.5% with a maximum of €1250 per transaction on your sale. The buyer again pays nothing.

Furthermore, Broccoli does not charge any costs to users and account holders.

IF I INVEST IN SMYLE, DO I INCLUDE ANY OBLIGATIONS AND MAY I EVER BE LIABLE FOR ANYTHING?

No. Broccoli does not charge any storage costs, no other costs, no securities and no obligations.

Regarding liability; it is not there for you. When you invest, you buy one or more Smyle certificates. You are literally excluded from liability. Certificate holders who invest now can never be held liable for anything, anytime.

WHAT AMOUNTS CAN I INVEST?

You can participate as of €375. There is no maximum amount, we use that investment to continue to grow. For amounts over €10,000, we will contact you to get acquainted and discuss this together.

HOW DO I DO MY ADMINISTRATION IF I INVEST AS AN INDIVIDUAL OR FROM A COMPANY?

Broccoli’s platform offers the option to export your transaction(s) (investment) at any time of the day.

On January 1 of the new year you can also export an annual overview from Broccoli. This provides an overview of how many certificates you have in which company and at what value. You could, for example, use this information for your own administration or tax return. For questions regarding administration, please contact [emailprotected]

WHAT ABOUT THE TAX AUTHORITIES?

We advise you to contact your local tax authorities to determine how to manage your investment in terms of taxes. Rest assured, this is a regular normal process, only this can differ slightly per country, that is why it is best to contact your local tax authorities.

CAN I ALSO INVEST FROM MY COMPANY?

That’s certainly possible.

IS THE INVESTMENT ROUND COVERED BY DUTCH LAW?

Yes. The STAK (Stichting Administratie Kantoor Smyle) is a Dutch entity, established and passed by the Notariaat Schut van de Ven in Amsterdam and is subject to Dutch law.

I HAVE PREVIOUSLY INVESTED IN SMYLE THROUGH A CONVERTIBLE LOAN WITH CROWDABOUTNOW, CAN I CONVERT IT INTO SHARES DECERTIFICATES?

No, unfortunately this is not possible.

I AM ABROAD AND I DO NOT HAVE A DUTCH BANK ACCOUNT, CAN I ALSO INVEST?

Yes, that’s no problem.
